Clear rules for using ATC Verify.
These Terms govern use of ATC Verify by signers, businesses, witnesses, notaries, and other participants. By creating an account, starting or joining a session, or using ATC Verify, you agree to these Terms.
1. The ATC Verify service
ATC Verify is a technology platform operated by Adams Trading Company LLC that supports remote online notarization, electronic signing, identity verification, audio-video communication, document handling, payment processing, record retention, and related workflow services. Features may vary by user type, transaction, location, and applicable law.
2. Notaries remain responsible for the notarial act
A commissioned online notary public is responsible for determining whether a requested notarial act may lawfully be performed, whether identification is sufficient, whether the signer appears willing and competent, whether required witnesses or certificates are appropriate, and whether the notary should proceed or refuse the act.
ATC Verify provides tools and information to support that decision but does not control, replace, or override a notary’s independent professional judgment. A notary may refuse, pause, or terminate a session when the notary believes the law or circumstances require it.
3. Signers and businesses are responsible for their documents
Users are responsible for the content, accuracy, completeness, legality, suitability, and intended use of documents submitted to ATC Verify. ATC Verify does not draft documents, determine whether a document achieves a legal objective, or guarantee that a court, recorder, lender, title company, government agency, financial institution, or other recipient will accept a document or electronic notarization.
The person or business initiating a transaction is also responsible for having authority to submit the document and invite the identified participants.
4. Identity verification and participation
Users must provide truthful, accurate, and current information and may be required to complete government-ID analysis, identity proofing, biometric verification, or other legally permitted verification steps. Passing an automated identity check does not compel a notary to perform a notarial act. A failed or inconclusive check may prevent a session from proceeding.
5. Audio-video recording and legal records
Remote online notarization sessions may be recorded and retained as required by law. By participating in a session, you consent to the audio-video communication and recording necessary to perform and document the notarization, subject to applicable law and our Privacy Policy.
6. Fees, payments, and payouts
Prices and payer responsibility are shown before or during the applicable transaction. Certain charges may be for platform services, identity verification, witnesses, or other services in addition to a notarial fee. Notary payouts and business billing are governed by the applicable ATC Verify workflow and any separate agreement or onboarding terms.
7. Use at your own risk
To the fullest extent permitted by law, you use ATC Verify and participate in notarization sessions at your own risk. You are responsible for your device, internet connection, account credentials, document selection, transaction instructions, and decisions made in reliance on a notarization or completed document.
ATC Verify does not guarantee uninterrupted service, the availability of a particular notary or witness, a particular identity-verification outcome, completion within a specific time, or acceptance or enforceability of any document.
8. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, ATC VERIFY IS PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT FOR EXPRESS OBLIGATIONS THAT CANNOT LAWFULLY BE DISCLAIMED, ADAMS TRADING COMPANY LLC DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ADAMS TRADING COMPANY LLC AND ATC VERIFY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST BUSINESS, LOSS OF DATA, OR LOSSES ARISING FROM A USER’S DOCUMENT, TRANSACTION, PROFESSIONAL ADVICE, OR A NOTARY’S INDEPENDENT ACT OR REFUSAL TO ACT.
TO THE FULLEST EXTENT PERMITTED BY LAW, ATC VERIFY’S AGGREGATE LIABILITY ARISING FROM A PARTICULAR TRANSACTION WILL NOT EXCEED THE AMOUNT PAID TO ATC VERIFY FOR THE TRANSACTION GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT APPLY WHERE A LIMITATION IS PROHIBITED BY LAW OR TO A LEGAL DUTY THAT CANNOT BE WAIVED OR LIMITED BY CONTRACT.
10. Responsibility for claims caused by your conduct
To the extent permitted by law, you agree to be responsible for losses, claims, costs, or expenses caused by your fraud, unlawful conduct, unauthorized submission of documents, misuse of the service, material breach of these Terms, or infringement of another person’s rights.
11. Prohibited use
- Submitting forged, fraudulent, stolen, unlawfully obtained, or materially misleading documents or identification.
- Impersonating another person or attempting to defeat identity, security, recording, or audit controls.
- Using ATC Verify for an unlawful transaction or to facilitate fraud, coercion, exploitation, or unauthorized access.
- Interfering with the platform, reverse engineering protected systems, or attempting to access data you are not authorized to view.
12. Third-party services
ATC Verify relies on third-party infrastructure and service providers for functions such as payments, identity verification, communications, hosting, and storage. Their services may be subject to separate terms and technical limitations. ATC Verify remains responsible for its own obligations under applicable law but does not control independent third-party systems.
13. Suspension and termination
We may restrict or terminate access when reasonably necessary to protect users, comply with law, investigate fraud or security concerns, address an expired or invalid notary credential, enforce these Terms, or protect ATC Verify and its service providers.
14. Governing law and changes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where another law must apply. We may update these Terms as the service, law, or regulatory requirements change. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.
